Career

Ruth is a qualified Kenyan advocate and a partner in the Corporate/Commercial department since 2016. Clients have commended her as being ‘responsive and thorough’. She advises clients on a wide range of corporate/commercial matters ranging from: legal due diligences and forensics; mergers, acquisitions and joint ventures; loan financing arrangements including aircraft financing and project finance and infrastructure; capital markets; drafting and reviewing commercial agreements; and advising and assisting clients with business establishment in Kenya. Ruth’s client portfolio comprises of local and international banks, developmental financial institutions, local and international corporate clients and foreign investors looking to establish a business presence in Kenya.

Ruth also advises on overseas aircraft leasing companies and overseas banks on aircraft leases, registration of aircraft mortgages, registration and de-registration of aircrafts in Kenya, realisation of securities and repossession of leased aircraft and Kenya tax provisions applicable to aircraft and equipment leases, drafting aircraft leases for local companies, drafting aircraft mortgages for local banks.

Some of the notable transactions she has advised on include: advising on the financing of Kenya Airways by African Export-Import Bank as mandated lead arranger; advising L’Oreal SA (the world’s largest beauty products manufacturer) on a multi-billion shilling acquisition of InterConsumer Products Limited’s health and beauty business; advising on the issue of KES3 billion medium term note programme on the Nairobi Stock Exchange to finance The Company for Habitat and Housing in Africa, “Shelter-Afrique”.
