Position
Merritt Johnson is a partner in Shearman & Sterling’s Capital Markets practice. He focuses on high-yield and investment grade debt offerings, initial public offerings, secondary equity offerings, leveraged buy-outs and liability management transactions.
Merritt has worked on transactions in a wide range of industries, including cannabis, healthcare, mining and metals, oil and gas, media and telecommunications, consumer retail products, technology and general industrials.
He represents financial institution clients, including Morgan Stanley, Jefferies, and Goldman Sachs, and corporate issuers.
Merritt’s recent representations include advising on the initial public offerings and U.S. listings of Sundial Growers and Landcadia Holdings II; an offering of common stock of Westinghouse Air Brake Technologies Corporation by General Electric Company; investment-grade notes offerings by Williams Companies, American Tower Corporation, Kansas City Southern, McCormick & Company, Steel Dynamics, and S&P Global; high-yield bond offerings by Jefferies Finance, LPL Financial Holdings, FXI Holdings, Sensata Technologies and SS&C Technologies; a PIPE transaction by Neptune Solutions; and a direct lending transaction for sponsor BC Partners Advisors.
