Counsel

Laurence is counsel and co-chair of the Mergers & Acquisitions practice goup at Dentons Canada LLP. Laurence is also the regional Toronto head of such group.

Laurence specializes in corporate law, with a particular emphasis on mergers and acquisitions, restructurings and workouts, private equity, and corporate finance.

Mergers and Acquisitions

Laurence has over twenty-five years of transactional experience advising a diverse group of clients on both the buy side and sell side in mergers and acquisitions. He has acted for private equity, chartered banks, investment banks, public issuers, and private corporations. Laurence has been involved in a wide range of industries including financial services, technology, industrial products, health care, entertainment, broadcasting, infrastructure, regulated industries, and real estate.

Restructuring

Laurence has over twenty-five years of experience in corporate restructurings and has acted on a significant number of Canadian and cross-border restructurings. He has acted for debtors, banks and bank syndicates, note holders, equity sponsors and purchasers, shareholders and directors and funds, accounting firms, creditor committees and note holder committees.

Private Equity

Laurence has extensive experience in private equity and mezzanine financing. Laurence has acted for a number of private equity and mezzanine funds, including, Edgestone Capital, Edgestone Mezzanine Fund, BMO Capital Partners. Tricap Restructuring Fund (a Brookfield affiliate) and Peninsula Capital Partners LLC. Laurence has also regularly advised hedge funds on a variety of Canadian capital markets and investment activities. Laurence’s broad range of expertise and experience in public and private M&A, capital markets, senior and mezzanine financing, and corporate restructuring enables Laurence to give effective business advice and inventive solutions to problems.

Laurence has spoken and taught at the Law Society of Upper Canada including Law Society continuing education courses. Laurence has also given numerous presentations and speeches to banks, financial institutions, accounting
