Position

Ala' joined Dentons’ Amman office as a partner in May 2019. He specialises in advising both Jordanian and international clients on a wide range of leading corporate and commercial, energy, finance, aviation and litigation matters.

Ala’ has specific expertise within the energy sector focusing on power generation, renewables, oil and gas and other natural resources. He advises clients on negotiations, project agreements and approvals, as well as finance documents. He regularly drafts commercial contracts on energy and aviation related transactions, for commercial agencies, intellectual property and franchise arrangements.

In relation to corporate matters, Ala has particular experience in documenting and negotiating joint ventures, together with the formation and restructuring of companies, conducting extensive due diligence and advising national and multinational corporations on all aspects of foreign investment. He also advises on commercial transactions, employment issues and on various disputes and regulatory matters in connection with the Companies Law, Commercial Law, Labour Law, Civil Law and Intellectual Property Law.

Sorouh Energy: Assisting Sorouh Energy in drafting and negotiating the project agreements for a Waste Incineration and Power Generation Plant Located at Zahrat Al-Finjan Landfill, Jenin Governorate. European Bank for Reconstruction & Development (EBRD): Advising on Jordanian law aspects of the financing of two wastewater treatment projects in Jordan to be implemented by a special purpose vehicle established by a Jordanian developer. Amman Asia Electric Power Company: Advising the IPP3 project company on project finance documents and other local legal issues with respect to the implementation of an independent power project in Jordan including the project agreements, EPC Contract, O&M and finance documents. Al Husainiyah Power Generation Company: Assisting in negotiating and concluding the 50MW photovoltaic power plant facility project agreement in the Ma’an governorate. The company was chosen to develop the project under a direct bidding system through the Ministry of Energy and Mineral Resources and the National Electric Power Company. Al-Badiya Power Generation Company: Assisting the company in achieving Financial close for the (10) MW Photovoltaic Power Plant Facility located at Al-Manara District, Al-Mafraq Governorate Northern Jordan (Round 1) and assisting in the negotiation of the expansion of the Project, in addition to advising on their several corporate, employment and regulatory matters.
