Position

Tristan is a partner in Dentons' Tier 1-ranked Technology team, with expertise in outsourcing, technology and commercial contracts, data protection and telecoms. He advises many major financial services clients on a wide variety of technology matters and is a member of Dentons' cross-practice FinTech Group. He also regularly advises some of the most recognizable brands on commercial and technology contracts. He has particular experience advising brands on partnering agreements to diversify into new sectors, including by launching financial products (including loan, insurance, savings, investment and credit card products) and communications services (including mobile services).

Tristan's expertise includes advising on:

Information technology agreements, including IT development and integration projects, agreements for service desk, application development, application management, IT infrastructure and hosting (including cloud) services, software licenses and software as a service (SaaS). Outsourcing and commercial contracts, including business process outsourcing (BPO), contracts for the supply of goods and services, joint ventures and distribution agreements, including for financial products. Data privacy, including GDPR audits, consent strategies, data breach response, binding corporate rules (BCRs), global data transfers, data sharing, subject access rights, employee monitoring, data protection policies and privacy notices. Communications contracts and regulations, including the application and reform of communications regulations, the roll-out of fiber optic networks, MVNOs, IRUs, capacity agreements and advising on other communications services agreements.

Solicitor, Senior Courts of England and Wales, 2009. Tristan has a background in economics and prior to joining Dentons worked as an analyst for the global information and media company, Nielsen.

Challenger bank: Advising on an agreement with FIS for the development and support of a new banking platform for the provision of cards, loans and savings products. Major insurer: Advising on an agreement for the development of a new wealth management platform and the migration of a back-book of fund products to the new platform. FinTech: Advising on a services agreement for card transaction processing services with a major retail bank. Retailer: Advising on a partnering agreement with a major bank to launch a branded personal loan product. Retailer: Advising on a partnering agreement with a major insurer to launch a branded car insurance product. FinTech: Advising on the acquisition of the intellectual property rights in another payment platform. FinTech: Advising on the commercial and privacy aspects in advance of the launch of an innovative new loan product. FinTech: Advising on customer terms and conditions and privacy notices. Non-financial services Confidential: Advising on a major programme relating to the development of a new enterprise resource planning (ERP) system, including the procurement of Oracle licenses and related specialist integration services with a number of major technology vendors. FTSE 100: Advising on the renegotiation of a multi-million pound application management agreement with a major technology vendor. Utility company: Advising on a landmark 10-year outsourcing of all its metering services to a consortium, including the roll-out of smart metering technology. FTSE 100: Advising on a multi-million pound agreement to install and maintain automation technology, leveraging ground-breaking AI technology. FTSE 100: Advising on a multi-million pound agreement for the development of an event tracking system to track items throughout a national logistics network. MOD: Advising on a multi-billion pound terms of business agreement with the provider of engineering and support services relating to submarines, ships and naval bases. Privacy and Data Protection First Data Corporation: Advising on all aspects of data protection and GDPR compliance and in relation to developing binding corporate rules (BCRs), a policy framework for ensuring the compliant processing of data, achieving the first regulatory approval for processor BCRs in the UK. Major bank: Advising on a data sharing agreement in connection with KYC and fraud prevention checks. Investment bank: Advising on GDPR compliance in advance of the introduction of the new data protection regulations. Retailer: Advising a well-known high street brand and its subsidiaries in relation to all aspects of data protection and e-commerce law, including an onsite audit exercise. FTSE 100: Advising on the application of the Payment Card Industry Data Security Standards (PCI DSS) to a number of products and services and developed precedent clauses to ensure compliance with PCI DSS requirements. Confidential client: Advising in relation to a major data breach impacting a number of jurisdictions. Communications Multinational conglomerate: Advising on telecoms services agreements relating to the launch of mobile services (via MVNOs) in a number of international territories, including in Africa, Europe and the Middle East. Regulator: Advising a communications regulator in relation to a major regulatory reform program, including to examine and implement liberalizing measures, including the first-time licensing of VoIP and MVNO services. Consortium: Advising the main sponsor of a submarine cable system, comprising a 10,000 km high-bandwidth fiber-optic network, including advising on access and interconnection agreements, capacity sales agreements (including IRUs), landing rights and other commercial issues. Consortium: Advising a consortium of mobile operators on a 30-year agreement with the government to build, operate and maintain a joint fiber-optic backbone and metropolitan broadband network. FTSE 100: Advising on a £200m+ agreement with BT relating to the provision of networking and IT services, including helpdesk, service management, telecoms, data access, consultancy, mobile phone, cabling, hosting and RFID services.
