How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

At Grupo Vicasa, managing legal aspects during periods of instability or crises requires a careful balance of patience and diligence. These are the moments when mistakes are most likely to occur, and such errors could potentially escalate the crisis further. I approach these situations with objectivity, closely analysing the facts so I can plan and determine what will be best for the organisation. My father’s advice, “never leave for tomorrow what you can do today,” guides me in these moments. This philosophy means addressing the issue at hand immediately, but with careful consideration and attention to detail, ensuring that the company’s response is thorough and effective.

 

What are the main cases or transactions you have been involved in recently?

Since 2022, I have been heavily involved in transforming Grupo Bocel, which previously had over one hundred legal cases pending. Today, the company has successfully closed all these cases, which could have negatively impacted the business and its stakeholders. As a result, the company is now legally “clean,” with no pending litigation. Furthermore, financially, it has zero observations from auditors, marking a significant achievement for the business. In addition to resolving legal matters, I have played a role in overseeing the professionalisation of the Board and its members, further strengthening the governance of the company. Similarly, in other enterprises within our group, I have been involved in major acquisitions as part of our strategy to expand into different sectors and countries. My role in these transactions is not limited to legal aspects but extends to administrative oversight and implementation, ensuring that each deal is smoothly integrated into our operations.

 

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?

Sustainability is crucial to our group’s core operations, and it is a priority that must be driven by the general counsel and top executives. Today, we are actively working on embedding clear sustainability practices across all our businesses. As a family-owned group, we recognise the importance of setting a strong example from the top, ensuring that sustainability is part of the company’s DNA and is communicated clearly to all employees and stakeholders. My role as general counsel in this process is pivotal, as legal guidance ensures that sustainability efforts are aligned with regulatory requirements, stakeholder expectations, and long-term business goals. I also help to ensure that sustainability is not only a compliance issue but is integrated into the group’s strategic planning. By fostering a culture of sustainability, we aim to create long-term value, mitigate risks, and contribute positively to society and the environment.

 

How do you prioritise diversity and inclusion within your legal department, and what initiatives have you implemented to foster a more inclusive and equitable work environment?

At Grupo Vicasa, we are deeply committed to promoting diversity and inclusion throughout the organisation. In the legal department, this is especially evident, as the team is predominantly composed of women. I believe this makes our department incredibly strong, as women tend to be highly organised and detail-oriented, which are essential qualities for any legal function, particularly one managing various enterprises across different industries. As a family-owned business, we place a strong emphasis on work-life balance. We understand the challenges of balancing personal and professional commitments, especially for working parents, and we strive to create an environment where all employees can thrive. We offer flexible working arrangements, support for mothers returning to work, and promote a culture that respects both professional and personal life.

 

In your opinion, what are the main trends that are salient in your country currently?

One of the most significant trends in the Dominican Republic is the growing involvement of second and third-generation family members in family-owned businesses. This brings about numerous legal and economic challenges, particularly in terms of succession planning and governance. However, having in-house family lawyers can make a significant difference, as we can provide legal advice that is both objective and deeply rooted in the company’s long-term success. As a family lawyer within the business, I am deeply invested in the future and sustainability of the company, and I approach my role with the goal of ensuring its survival and growth over time.
