FINSA is an industry-leading industrial real estate development company across Latin America. The eight lawyer strong legal team at FINSA is led by Hans J. Hutterer, vice president and general counsel, and two legal managers that report to him directly: Gerardo Reynoso, in charge of leasing and acquisition activities, and Marcela Ramirez, in charge of the matters related to compliance, project finance and corporate. Each of them have two or three junior lawyers helping them in attending all matters and affairs within their departments. The wider legal department also has an executive assistant that works to attend every administrative matter related to the department. Hutterer highlights that the team is made of ‘passionate and business oriented attorneys in constant search of business opportunities that will further develop the company’. The team led the FINSA Real Estate and Project Finance area to the successful acquisition of a Portfolio Class A stabilised assets totalling 5.7 million square feet, comprised of 35 buildings located in key manufacturing and logistic hubs, plus 160 hectares of land for future development in a transaction valued at US$302m. The team also participated in two successful issuances of Real Estate Senior Trust Bonds (CKD) placed by Finsa Real Estate Management II, and Walton Street Capital, for an amount of Mex$7.7bn. In the last year FINSA has entered into senior secured credit facilities and syndicated loans for amounts up to US$500m with the team’s oversight, and it has directed the implementation of integrity policies in order to comply with the National Anticorruption System. A nominator has highlighted that, ‘’FINSA’s legal team is constantly participating, with very successful results in a variety of matters, some of which are atypical for real estate developers, for example, all the intricacies of the CKDs. The team is also an avid negotiator against the banks when it comes to loan agreements and real estate guarantees. Needless to say, the team’s bread and butter is the acquisition of industrial portfolios and all legal activities related with the development of industrial land at it’s different stages’.
