Boris Dolgonos has over 20 years’ experience advising issuers and underwriters – from public and private corporations, investment banks and other financial institutions to sovereign entities – across a wide range of financing transactions, including IPOs, high-yield and investment-grade debt offerings, and privatisations. His practice primarily focuses on the US aspects of international securities offerings. He draws on experience in a range of industries, including metals and mining, biotechnology, aircraft leasing, hospitality, media and telecommunications, financial services, technology and retail. He also regularly advises public companies on corporate governance, securities laws, stock exchange rules and regulations, and periodic reporting responsibilities. Dolgonos has an extensive track record in relation to Mexico. His 2017 mandates include advising BCP Securities, Jefferies and Morgan Stanley on a $400m senior notes issue by Mexican media-heavyweight TV Azteca; acting for major Mexican conglomerate Grupo Kuo on its $450m, international senior notes offering; and assisting Maxcom Telecomunicaciones with its tender offer to purchase up to $25m of its outstanding step-up senior notes. Other matters include advising Jeffries and BCP Securities regarding the debt restructuring of Mexican mining company Cobre de Mayo; acting for Mexican EPC company, Arendal, in connection with the issuance of $25m of notes in a Reg S offering; and acting for Espirito Santo Investment Bank in connection with the issue of $33m notes under Reg S by Mexican retail, consumer finance and banking services company, Grupo Famsa. Mr Dolgonos serves on the board of directors of the International Senior Lawyers Project, a non-profit organisation dedicated to providing legal services for human rights and economic development throughout the world.
