Mexican-born, Adrian Talamantes has deep experience in the structuring, documentation, and negotiation of energy-related agreements in connection with projects, investments, and divestments. In this context, he has worked on agreements for the purchase and sale of equity and assets; the construction, management, and operation of infrastructure assets; and the storage and transportation of hydrocarbons, among other matters. Houston-based Talamantes is particularly active in mid- and up-stream oil-and-gas transactions in Mexico, a sector which has recently seen him advising an independent Mexican oil-and-gas company (backed by US private equity) on the development of an integrated midstream fuels project in Mexico, representing an integrated energy company in the development of a fuel import project within the framework of Mexico’s new hydrocarbons legislation and assisting a US energy company with the acquisition of geologic information from Mexico’s Comisión Nacional de Información de Hidrocarburos. His other recent work includes representing a Singaporean exploration and production company in the drafting and negotiation of an asset purchase agreement for the acquisition of oil-and-gas operating leases in the Gulf of Mexico, representing an international energy company on the divestiture of project companies holding rights to construct and operate a 130km natural gas pipeline in central Mexico, and acting for an energy company in the restructuring and eventual divestiture of its asphalt-related investments in Mexico. Talamantes is also active in capital markets matters and has represented a US-based lender in the drafting and negotiation of loans secured by properties in Mexico, as well as a global real estate developer in a $177m secured loan with two major US-based life insurance companies, the proceeds being destined to finance property acquisitions in Mexico.
