David Mercado is a partner in Cravath’s corporate department. His practice is diverse, with an emphasis on financings and mergers and acquisitions in Latin America. A significant component of Mercado’s practice involves private equity funds. Mercado’s international capital markets practice includes representing both issuers and underwriters in high-yield and investment grade debt offerings, initial public offerings and follow-on equity offerings. He has been involved in offerings for Jose Cuervo, Enel, Endesa, Banco Santander Río, Petrobras, CSN, Colbún, Telefónica Chile, Celulosa Arauco, Inversiones CMPC, ENAP, GP Capital, Pemex, CFE, Telmex, Vitro, United Mexican States, Grupo Lamosa, Banamex, Naspers, Credit Suisse and E-CL, among others.
In mergers and acquisitions, Mercado represented Grupo Modelo in its acquisition by Anheuser‑Busch InBev; Time Inc. in its sale of Grupo Expansión to Southern Cross Group; Banco Santander Río in its acquisition of the retail banking businesses of Citigroup in Argentina, the sale and joint venture of Santander’s insurance underwriting businesses in Latin America to Zurich Financial, as well as the sale of Santander’s pension fund management companies in Latin America to ING Group.
Mercado is a member of the American Bar Association, International Bar Association, New York City Bar Association and New York State Bar Association. He speaks frequently on developments in corporate law, including on a panel entitled “Fixing the Securities Offering Process: Lessons from Recent Offerings,” at the International Bar Association’s Annual Conference.
