What are the most significant cases or transactions that your legal team has recently been involved in?

In 2021, TGLT completed an agreement of the holders of its class XVI and XVII negotiable obligations for outstanding amounts of US$20m and US$825k, respectively, which represented more than 90% of the total capital of negotiable obligations, to modify certain terms and conditions of the issue, among them, the maturity date, the schedule of principal, interest payments, and guarantee. Also in 2021, TGLT and different entities of the NorthBaires Group, NorthBaires, carried out a restructuring of assets linked to the estate projects OM Palermo and OM Recoleta.

In March 2022, TGLT, Banco Itaú Argentina and Itaú Asset Management S.G.F.C.I.S.A. have entered into a transfer and assignment agreement of the contractual position, participation certificates and trust securities owned by TGLT the Catalinas participation, issued under a financial trust, executed by and between TGLT, BA Development II GmbH, and Allaria Ledesma Fiduciaria, as financial trustee. Also in March 2022, Ponte Armelina (PASA), as debtor, TGLT Uruguay as guarantor and Hospitality Infrastructure LLC and Latin Advisors Ltd, creditors, entered into a refinancing agreement for the purpose of documenting in a single common facility the loans from the creditors to PASA. The refinancing agreement has been guaranteed, among others, by a pledge on PASA’s shares, and assignment or rights that TGLT has over certain functional units in various estate projects.

How much influence do you, as a general counsel, have on the diversity and inclusions policies of your organisation?

In my case, I am responsible for the integrity programme besides my general counsel role. Such a comprehensive role brings an additional responsibility to foster, cultivate and preserve a culture of diversity, equity and inclusion. I strongly believe that human capital is our company’s most valuable asset, and this is not a slogan for me. Company achievements and reputation are based on the collective sum of the individual differences and unique capabilities. Our differences in age, ethnicity, family status, gender identity, language, physical and mental ability, political affiliation, religion, and other characteristics make us unique. As general counsel, I must put all that into action.
