What are the most significant cases or transactions that your legal team has recently been involved in?

Our legal department has been involved in all relevant transactions and developments of Inter. First, we actively participated in the creation of the digital bank in 2015, and in the development of every product that followed. Also, we led, together with the finance and investor relations teams, the IPO in 2018, the follow-on offerings in 2019, 2020 and 2021, M&A transactions, and more recently, the corporate reorganisation that led Inter to be listed at Nasdaq. Moreover, we have been involved in the creation of Inter’s marketplace, which led to the creation of Inter’s platform and Inter’s SuperApp.

In particular, the recent corporate reorganisation was a very complex transaction, designed and implemented during a period of 24 months, which involved the participation of many players, from legal advisors to investment banks, and many other areas within the company.

As we live in a fast-paced world today, what skills will a corporate legal team need to succeed in the modern in-house industry?

The team needs to deeply understand the business and be open to create and explore new ideas. We must be problem solvers and nurture new solutions and adequate legal advice, that meets the business needs to grow and continue to improve and deliver results. Also, management skills are necessary to measure KPIs, deliverables and budget. Also, and most important, leadership skills to foster the culture and build great and happy professionals. Being open to the benefits of bringing technology is an essential part. Lastly, great communications skills are also very important.

How do you suggest in-house lawyers build strong relationships with business partners?

We need to fully understand the business and work very closely with business partners to create an impact. We need to understand their needs and experiment ways to find legal solutions and specially, be open to creating and starting over when needed. In-house lawyers must develop a business mindset and be ready to help the business grow, while guaranteeing legal adequacy and understanding all risks involved. We also need to understand and embrace the culture and the pace of the company. Each company operates differently, so it is key to understand how to communicate with your both business partners and external clients.
