What are the most significant cases or transactions that your legal team has recently been involved in?

In more recent times, our legal department has been part of some important activities within our company. We have actively participated in the acquisition of Banco Modal, a Brazilian investment bank, we have worked on the incorporation and start-up of Xtage, a crypto exchange, already operational and available in XP’s app, and we have worked hard in implementing a buyback shares program for XP Inc. Furthermore, we developed a program that enables citizens living in Brazil to invest directly in US markets, through XP Investimentos, and lastly, we worked on a spin-off of Itau’s ownership held in XP Inc, which was merged into our company, and on the issuance of Brazilian depository receipts, certificates representing shares of foreign companies traded in Brazil.

Did the pandemic lead to a lasting increase in the interaction your legal team has with the strategic plans of the company?

To be honest, I believe our team has made great efforts to adapt to this new hybrid way of working, and since its implementation I would say that we have been doing a great job, and our position within that company has solidified, particularly to the eyes of our business partners.

How important is choosing to work with external lawyers who align with your company’s values? Are you likely to reconsider what firms you work with based on this?

For me, and I think I speak for the entire legal team, we consider it essential that external lawyers that work with us share the same values and ideals as us. Makes our partnership more efficient and trusting, which in the long term greatly benefits our company’s business interests. As such, we only contemplate working with law firms that fit that profile.

How do you suggest in-house lawyers build strong relationships with business partners?

From my professional experience, to build a strong relationship with your business partners, I believe it is essential to create a relationship of trust and always seek to facilitate the realisation of business.
