Focus on: My career

I am a lawyer with more than ten years of experience advising multinational companies in multicultural environments among different jurisdictions. During these years I have focused my practice providing strategic legal advice to multinational companies. As legal head of such diverse group of companies, I was involved throughout the planning, construction, operation and closure phases of large infrastructure projects, the creation and improvement of the legal departments and the organically and inorganically growth (M&A) of those entities, all in highly regulated environments. I establish my practice around several topics, including but not limiting: i) management of complex contractual mechanisms, ii) structuring debt under different financial products, iii) M&As processes; iv) major infrastructure and commercial projects; v) handling anticorruption and data protection policies, as well as vi) development and management of ethical governmental relationship with high profile public officers in hazardous regulatory environments.

The main projects and businesses in which I have participated are:

1. Legal and strategic counselling during i) M&A processes, ii) antitrust and FCPA procedures, and iii) public and private commercial development of the Ecuadorian, Guatemalan and Curacao branches of Fresenius Medical Care (German company).

2. Legal management of SBA Communications Corp. (USA company) during its tower portfolio growing process in Ecuador, meanwhile the company was suffering a complex regulatory hazard that required the implementation and execution of a governmental relationship strategy to prevent anticompetitive regulations.

3. Legal responsibility of structuring and executing POSCO’s (South Korean company) disinvestment process in a major South American construction company (SantosCMI).

4. Legal head in the management construction and development of the Telecommunications National Corporation public telecommunications networks in Ecuador (3G and LTE) commissioned to Huawei Technologies Co. Ltd.

5. Development, construction and successful launch of the New Quito International Airport and its subsequent Master Plan implementations. As part of the legal team, I oversaw the compliance of the EPC construction contracts (Lump Sum & Turn Key Contracts), the concession contract and the multilateral debt management agreement with OPIC, IDB, Exim Bank and EDC.

6. Corporate closure of Perenco Ecuador Limited after governmental confiscation of its oilfields. I was a junior team member in the process against Ecuador in the International Centre for Settlement of Investment Disputes (ICSID). These diverse and multicultural environments have given me a global understanding regarding a business and its cycle, focusing my expertise on legal strategic planning within complex environments, without neglecting legal and compliance aspects of the business.
