What are the most significant cases and transactions in the LATAM region that you or your legal team have recently been involved in?

In the last two years, I have been involved in two very relevant M&A transactions in the LATAM region:

In 2021, Hispasat acquired the management and signal transport business of Media Networks Latin America, a subsidiary of the Telefonica Group involved in multimedia, reinforcing Hispasat position as a leading operator for services related to satellite television in South America.

In 2022, Hispasat acquired the company AXESS Networks, a world leader in satellite telecommunications solutions with a presence in Latin America, Europe, the Middle East and Africa. The advantages of this acquisition were especially notable in LATAM, a region where both companies maintain a very significant portion of their business. In both transactions I have led the team of in-house lawyers, also assisted by external counsels. Both transactions have been complex from a legal perspective, due to the fact that different jurisdictions were involved, and different approvals were required from a regulatory perspective.

What are your organisations plans in the LATAM region over the next 12 months and how will your legal expertise help to achieve these plans?

Hispasat is the leader in broadcasting and distributing multimedia content in Spanish and Portuguese, and LATAM is the main place of business. We have presence in the region from long time ago and therefore we have a lot of experience doing business there. In this regard, from a legal perspective we are used to dealing with complex legal issues in the region.

How do you adapt your legal counselling to align with the diverse business practices and customs of various LATAM countries?

In each LATAM country in which we operate we either have in-house local lawyers or external local lawyers, and, depending on the complexity, in some countries we have both. With this approach we ensure that legal local aspects are under control and align with best practices in all the countries.
