What is the number one challenge that has impacted you over the past year? 

Our successful track record of more than 130 years acquiring and leading business turnarounds has been a key driver of our growth. During the past years, Grupo Mariposa has grown exponentially. After more than 15 different acquisitions over the past three years, with new operations in new territories, last year Grupo Mariposa worked on a new governance model. We believe that under the new governance model, the board will provide strategic guidelines to encourage growth and value creation at different levels of the organization. That meant a lot of work to align the legal structure with the growth.  

Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?   

We worked on a new 144-A Reg S ESG Bond for Grupo Mariposa’s largest subsidiary, CBC, that eventually was awarded the ESG deal of the year in 2022 by different forms and publications. That deal allowed CBC to successfully face the challenges of increased interact rates in international markets.  

What would you say are the unique qualities required to be successful as an in-house lawyer in your industry?   

You need to be able to adapt to a changing world full of new challenges. Everything is changing very fast, from production to go-to-market, from compliance to ESG. You need to identify the paths, adapt, and adjust.
