What are the most significant cases or transactions that your legal team has recently been involved in?

Since the Lusíadas Saúde Group was acquired – at the end of 2022 – by the Vivalto Santé Group, there has been a strong focus on the M&A area, with a view to the Group’s inorganic growth. I have been incredibly involved in these operations, which necessarily require the intervention and consistent support of the legal department. In November 2023, we completed the transaction relating to the Companies that owned Monsanto Hospital, which is currently within the Lusíadas Group (and which represents an investment by the Group in the area of mental health), and, at the beginning of 2024, we concluded the operation relating to the acquisition of the company MCCare – Serviços de Saúde, currently Lusíadas Dental, with the Lusíadas Saúde Group now managing the 22 Dr. Well’s clinics (currently part of the Lusíadas Group’s network of dental clinics under the HeyDoc brand) . The Group continues to invest in this type of M&A operations (still subject to confidentiality), as well as in greenfield and brownfield projects, with the legal area playing an essential role in this context, monitoring all phases of these projects.

Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?

Our legal team is relatively small for the size of the Group but is characterised by a strong spirit of collaboration. The work is organized by specific areas, which allows us to offer solid and quick responses. We identified, however, that it would be important to create an internal training program for the business and operational areas, with the aim of increasing the legal sensitivity of the Group’s remaining employees on specific topics. With this initiative, we reduced the time spent on tasks such as clarifying doubts and better guide requests made to us. This training did not involve a significant cost, as it was carried out internally, and allowed us to increase efficiency and promote greater integration and understanding between the different areas of the Group, improving workflow and collaboration.

What is a cause, business related or otherwise, that you care about, and why?

A cause that I consider particularly important, on a professional and personal level, is healthcare ethics. As a lawyer, I have the privilege of being part of the Ethics Committee of two hospitals in the Lusíadas Saúde Group. This role has been a stimulating challenge that allows me to understand the most sensitive and complex issues, both from the perspective of patients and healthcare providers. Health.

I am also actively involved in work processes that aim to improve the balance between professional and personal life. Throughout my career, as a professional and as a woman, I have realised that professional and personal fulfilment are intrinsically related. This issue gains even more relevance with new work models and specific leadership challenges. I believe that promoting a work environment that supports this balance is imperative for the motivation and well-being of employees, and consequently for the success of companies.
