What are the most significant cases and transactions that your legal team has recently been involved in?

Currently, we are managing five major cases with a total value of ETB 50m. This number is relatively low compared to other industry players, reflecting our emphasis on delivery, a win-win approach, and preventive measures. Most cases involve employment, labor law, and subcontract termination issues.

All major transactions are handled internally. Although we have been in the construction sector for only three years, the corporation manages over 22 active projects nationwide, valued at close to ETB 20 billion. These projects include government mega projects and high-rise constructions. Our office reviews all project contracts and has developed standard contracts for dealings with subcontractors and suppliers. A significant recent transaction involved an ERP implementation with the German software company SAP and an agreement with Ethiopian Airlines for the implementation of the application.

Which recent political, economic or regulatory changes have impacted your work the most in recent years?

The country has experienced over six years of political instability, with active conflict affecting more than 60% of the area. As a government-owned company, these challenges are amplified. Although efforts have been made to address root causes through consultation forums, improvements have been minimal, significantly impacting the role of in-house counsel in state-owned enterprises.

The political situation has severely impacted the economy, leading to high inflation and foreign currency shortages. While the government has taken measures to combat these issues, including recent improvements, the economic impact on contractual terms has been significant. There is increased frustration over contractual obligations due to high inflation rates.

Rapid changes in the regulatory landscape, including new proclamations governing federal state-owned enterprises and the formation of the Ethiopian Investment Holding as a state wealth management fund, have affected our office. EEC is now a wholly owned subsidiary of EIH. Other regulatory changes in capital market development and tax laws also impact our functions.
