What are the most significant cases or transactions that you have recently been involved in?   

We recently closed the acquisition of Orscheln Farm and Home, a farm and ranch retailer with 166 stores in the Midwest. The deal involved negotiating a remedy with the FTC over an extended period of time which included divesting 85 locations to two buyers.  

The unusual business environment created by the war in Ukraine has been swiftly followed by other shocks. How have these affected your business?   

Many experts have said the greatest risk facing global supply chains has shifted from the pandemic to the Russia-Ukraine military conflict and the geopolitical and economic uncertainties it has created. Gas, in particular, has been affected, with the price per gallon of both diesel and regular gasoline spiking. This can have an impact on most U.S. Retail businesses. 

How important is choosing to work with external lawyers who align with your company’s values? Are you likely to reconsider what firms you work with based on this?   

It is very important to work with external lawyers who align with my company’s values.  It is also important for the external lawyers to provide superior proactive and reactive legal/business support, when necessary.
