Victor Koncha
General counsel | ZBV Holding
Team size: Three
First, can you please give us an idea of the sort of work your team has done recently?
Recently my team has been involved in several projects. One of them is the private placement of the shares for the group’s target company for an amount of up to ten million euros (€). This included the participation in negotiations, drafting of documents for the share deal merger, and completion of the transaction.
Additionally, my team was invited to advise on the restructuring of a hotel chain in Eastern Europe.
How does your legal strategy change during periods of instability or uncertainty?
My team’s strategy was always based on following the clear framework of the law, which is why my strategy stayed true to fair practice in advising the company and the actors it has conducted business with. Therefore, while my approach to legal matters has been stable – unlike that of the company itself which had to adjust more sensitively to effects of instability — the advice I provide as a general counsel was surely adjusted to include varying and often multiple possible outcomes during times of uncertainty.
Do you make use of any ‘legal tech’ products, and if so, for which areas of your job do you find it most useful?
Since we are a relatively small legal department of not a very large company, the question of legal tech has not been very sharp on our agenda in the last years. While it does not mean that we are not following technological developments for legal professionals and using them, when necessary, we do still value the established internal process of handling the company’s legal matters.
