Andrea Marçon Bocabello has been working in the Latin American region as in-house counsel for Brazilian and US companies for the last 15 years and has served in senior executive roles, as a director since 2010. Fleury is a top tier Brazilian HealthCare Services company, publicly traded, and headquartered in São Paolo. It has 9,000 employees, 2,000 physicians and 4,000 subcontractors in several business units. As leader of the law department and reporting to the CEO, Bocabello is responsible for managing a full range of legal matters, litigation, regulatory and corporate governance. Her role covers business strategy, M&A and complex negotiations, advocacy for laws and regulations lobby within the sector, adjusting all internal procedures to comply with SEC regulation and corporate governance best practice, supporting all legal advice and corporate documentation for board meetings and shareholder meetings. In the last year, she restructured the law department improving corporate governance, internal controls, transparency and efficiency procedures to provide legal support. Her MBA background helped her to build high performing teams and achieve challenging goals, driving the law department to a strategic level in the company. Bocabello also invested in systems and mapping of internal procedures, transforming transactional activities in automatized systems or outsourced services. She says that these ‘changes allowed the Fleury law department team to aggregate a broad scope of areas, such as corporate governance and corporate secretary, tax planning, government relation and regulatory matters related to investor relations’. Additionally, she has lead the company through compliance and anti-corruption policy implementation, M&A transactions and arbitration, environmental and labour class actions.
