Canadian National Railway Company (CN) is a major player in the shipping and transport sector in Canada and the US, shipping freight over 20,000 route-miles of track between the Atlantic to the Pacific and Gulf of Mexico. Its in-house legal team is led by Sean Finn, executive vice president corporate services and chief legal officer, and is made up of some of the sector’s top lawyers working in legal, government, regulatory, public affairs, risk mitigation and security matters. CN specialises in moving raw materials and intermediate goods, and is subject to significant regulatory control from the Canadian and American railway authorities. Additionally, CN transports by truck and intermodal containers requiring the legal team to exercise its expertise across multiple sectors and jurisdictions. Over the last year, the team has been involved in many deals and transactions including the announced public two-tranche debt offering of US$900m. This is made up of US$300m 2.4% notes due 2020 and US$600m 3.65% notes due in 2048, as well as renegotiations with union groups, new contracts, sponsorships and the renewal of the CN’s partnership with 4-H to advance youth leadership and safety in Canada.
