What are the most significant cases or transactions you and your team have been involved in?

In 2018 P&G acquired Merck’s consumer health business for $4bn. The transaction was followed by an integration process that involved more than 1000 employees across Latin America. The integration included a compliance action plan to bring best practices from the acquired business in line with P&G’s standards. The process involved redesigning market strategies tailored to every territory, a review of the business practices, and intense training on antitrust and commercial policies. The business has been growing consistently, exceeding our expectations while doubling down on compliance and stewardship to guarantee sustainable growth over time.

What do you think are the biggest risks facing your industry now and how are you preparing your team and organization to deal with them?

The current economic volatility, cost pressures, and antitrust risks are the biggest challenges facing our industry from a compliance perspective. Training the organisation on the potential risks and maintaining the proximity to business is key to guiding the management team in the execution of plans and strategies which follow the compliance requirements.

How do you suggest in-house counsel form relationships with business partners?

In order to form a strong relationship with business partners, in-house counsel must understand the business. Only when internal clients feel that you understand the company, its key aspects, and goals, they will feel confident to give general counsel, more influence in the decision-making process. Clear communication is essential to set limitations and establish those lines that cannot be crossed in order to protect the company.
