What has been the number one challenge that has impacted you over the past year?
Consolidating a legal-contractual structure to support the business across the region I am responsible for while leading the setup of a legal entity in Costa Rica was challenging. This is because most of the countries are export markets, and therefore, had many risks related to properly mapping commercial operations and mitigating the contractual model. Also, the legal entity aimed to mitigate the Permanent Establishment Risk in Costa Rica, and consequently, had to align with the aforementioned export market.
In which ways have you attempted to bring the legal department closer to your business colleagues?
I led and promoted the implementation of a “legal companionship” program, to understand the day-to-day functions of the commercial team. This involved visiting clients and stakeholders on the field and served as a practical experience, placing the team out of their comfort zone, and giving a real-life understanding of the challenges faced by the commercial team. This programme was conducted alongside a training program tailored to each department’s need and covering different topics throughout the year.
What are some of the most significant cases and transactions you have been involved in recently?
Establishing the legal entity in Costa Rica was particularly challenging this year – I had to deploy legal technical skills and manage different projects, coordinate with other departments, set up a clear process to communicate risk and achievements. This was balanced with attending to other day-to-day duties. It is important for me to highlight the support from Arias Law, our local outside counsel in Costa Rica as they acted as allies – without their support it would have been impossible to succeed on this project.
