What are the most significant cases or transactions that your legal team has recently been involved in?

In 2020, Grupo Energía Bogotá closed a transaction for the acquisition of 100% of the shares of Argo Energia Empreendimentos e Participações. This transaction was made in association with Red Eléctrica Internacional.

This year, Enel Américas — the Latin American subsidiary of Italian energy conglomerate Enel and Grupo Energía Bogotá — agreed and received authorisation from the regulatory entities to merge Enel’s subsidiaries across the region. The merger resulted in the creation of Enel Colombia, which will operate energy assets in Colombia, Chile, Costa Rica, Guatemala and Panama. Enel Américas is set to absorb GEB’s local power subsidiaries, Emgesa and Codensa, Enel Green Power Colombia and holding company ESSA 2, from Enel’s broader umbrella to create Enel Colombia.

If you had to give advice to an aspiring in-house lawyer or general counsel, what would it be and why?

To be a good in-house lawyer, you must be understanding, have a mind focused on the business and get involved not only in the company’s legal matters but in all areas that affect it. The objective of the company’s legal counsel should be to achieve the department’s goals and focus on results within the framework of legality and efficiency.
