Gerente corporativa de asuntos legales | Darnel Group

How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organization’s resilience?

As a corporate lawyer at Darnel Group, it is crucial to possess a comprehensive understanding of the various processes and business units within the company, along with an in-depth knowledge of the legal framework governing our operations. This enables me to identify and assess legal risks effectively, using a controlled matrix to evaluate their impact and likelihood. Such preparedness ensures that we can manage crises efficiently, maintain organisational resilience, and prioritise our team’s efforts in addressing these challenges.

What are the main cases or transactions you have been involved in recently?

Recently, our organisation has experienced significant growth by expanding globally, introducing new market solutions, and investing in technology. This expansion has involved acquiring new plants, establishing operations in new jurisdictions, and merging with manufacturing companies to leverage synergies. These efforts have necessitated adapting to complex local and global regulations, particularly concerning anti-corruption, money laundering, and terrorist financing. Our robust compliance system has been integral to managing these risks and ensuring business continuity.

What emerging technologies do you see as having the most significant impact on the legal profession in the near future, and how do you stay updated on these developments?

In terms of technological advancements, we have implemented systems that automatically verify third parties, such as clients, vendors, and employees, to detect any inappropriate behaviour or irregularities. This technology enhances our efficiency, productivity, and effectiveness, and has been recognised by the UN Global Compact for its good practices.

In your opinion, what are the main trends that are salient in your country currently (these can be legal, political, economy or business-based)?

Regarding current trends, the main challenge for our organisation in Latin America is political and economic uncertainty. This includes fluctuating interest rates, inflation, unemployment, and the increasing regulation of plastic use, all of which have impacted industry growth projections. In Colombia, recent reforms—such as the 2022 tax reform and ongoing discussions about labour, health, public services, and education reforms—create a constantly evolving regulatory environment. The tax reform, in particular, has negatively affected consumption and reduced the country’s competitiveness. Additionally, there has been a rise in regulatory activity, with significant modifications in areas such as customs, environmental standards, labour laws, and single-use plastics.
