The past few years have been highly memorable for Siemens’ six-person legal department in Colombia, as the team executed a major initiative to harmonise and simplify all of its contract templates. The initiative has had a significant impact on Siemens’ operations in Colombia, as it resulted in remarkable improvements in speed, efficiency and customer satisfaction. ‘In the past, every business area or division in Colombia had its own contract templates’, says Virgilio Diaz Mendoza, senior counsel in the team. ‘This made us slow to respond to cross divisional opportunities and confused our customers who dealt with several different Siemens business areas. It also required considerable effort by the legal department to keep all these templates up to date’. Having undertaken a comprehensive benchmarking of terms and conditions used by competitors and having aligned its own standard terms and conditions with market practice, the team has been able to reduce the number of templates that Siemens uses in Colombia from 25 to eight. ‘We now use the same templates across all divisions in Colombia. Our maintenance effort has dropped significantly’, Diaz clarifies. In addition to these significant gains in efficiency, the team has also impressed with its transactional track record. Recently, for example, the team received acclaim for planning and managing the legal side of the demerger of Siemens’ healthcare business in Colombia. Diaz says: ‘We were able to close this transaction successfully despite the tight schedule and the difficulty of coordinating the work of different teams. This transaction was very important for the Siemens global strategy’. Completed in early 2016 the transaction had a value in excess of $25m. In addition, the team recently captured attention with its involvement in a deal to provide cutting edge Intelligent Traffic Systems technology for the new generation of Colombian highways. ‘In the last nine months, legal has supported the negotiation of four different contracts which together will result in a high double digit revenue for Siemens. These transactions were critical to guarantee the stable operation of the Siemens mobility business in Colombia for the next 30 years’, Diaz explains. Led by Dr. Georg Boettcher, general counsel of Siemens Latin America and general counsel of Siemens Colombia, the unit is actively involved in guiding the long term strategy of Siemens, developing legal solutions to new business models and introducing various innovations.
