How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience? 

 

Our approach involves proactive planning, including crisis assessment to identify and evaluate risks. During instability, we focus on understanding the scope of the crisis to apply effective legal solutions. Our strategy aims to minimise legal and regulatory risks while supporting business interests. 

 

What are the main cases or transactions you have been involved in recently? 

 

I led the legal due diligence and review of financing agreements for refinancing USD 84 million in short-term debt, significantly improving the corporation’s liquidity. I also managed the drafting and review of annual shareholder meeting documents and coordinated the first annual meeting of Cesar Iglesias, the only publicly listed company in the Dominican Republic. 

 

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company? 

 

We have integrated ESG practices into our corporate strategy by establishing a sustainability division overseen by the Executive Committee. This division monitors waste, pollution, and resource use, recommending sustainable practices. We contribute by coordinating reports and ensuring adherence to directives, thus fostering a culture of responsibility and sustainability. 

 

How do you prioritise diversity and inclusion within your legal department, and what initiatives have you implemented to foster a more inclusive and equitable work environment? 

 

I prioritise diversity by recruiting personnel from diverse backgrounds, including race, age, gender, and functional areas. With the HR department’s support, we seek candidates who bring diverse perspectives and skills, which enhances our department’s performance and balance.
