What are the most significant cases and transactions that your legal team has recently been involved in?

Some of our transactions and cases are the merger transaction include merged Metals Group, the acquisition of minority shares from the minority shareholder in one Trinity subsidiary company, and our development of ISO compliant compliance program.

The due diligence process and contract drafting process with regards to the United States DFC Technical Assistance Grant to Trinity Metals also occupied our team, as it is the first of its kind to the African continent.

We also completed successful negotiations with the government with regards to the completion of the merger incl. successful discussions with the Rwanda Revenue Authority about tax related precedent conditions.

In addition to the work my team has completed, I would include renegotiating the large-scale mining agreement with the Mining Board for Trinity subsidiary companies, which is being finalised.

Which recent political, economic or regulatory changes have impacted your work the most in recent years?

I prepared the policy brief on taxation laws in Rwanda: gaps, challenges and recommendations, on behalf of the Rwandan Civil Society Platform that was used in their advocacy during the process of amending various tax laws in Rwanda. They have impacted my work but also the work of Rwandan taxpayers in a positive way.

The mining law and mineral tax law that are being amended will also have a huge impact on our work.

Are there any causes, business or otherwise, that you are passionate about?

I am passionate about business, human rights, and ESG.

 Tristan Minyati is the general counsel and chief compliance officer at Trinity Metals and heads up Trinity Government Affairs. Tristan’s previous roles have included rule of law advisor at the United Nations in Mali where his work helped restoring the rule of law and access to justice in Mali. He also worked with the Supreme Court of Rwanda as judicial and legal advisor to the Supreme Court of Rwanda working among other things on cases transferred from the International Criminal Tribunal for Rwanda and other countries. Tristan’s work has contributed to increasing the trust of Rwandan and international community in the Rwandan judicial system.  

Tristan holds an LLM in International and European Law of Fundamental Rights from the Nantes University (France), and an LLM in Business Law from the University of Rwanda. He also holds a certificate in human rights from Leitner Centre for international law and justice at Fordham University, school of law.
