What are the projects that you are most proud of working on over the past 12 months?

The project I am currently most proud of is the finalisation of a merger where our main entity in Ecuador absorbed six other satellite companies. After the regulator approved it and following a great deal of effort, the merger deed was miraculously registered with the Commercial Registry on December 31st, 2024, which allowed us to start 2025 with six fewer companies. This was incredibly beneficial in terms of cost reductions, tax benefits, and other positive outcomes. The merger process took approximately four years due to constant accounting and legal requirements from the regulator, and it turned out to be very demanding and complex in terms of preparing the documentation and having meetings with the regulator to explain the process. Fortunately, it had a successful outcome. Another project I have enjoyed working on, in collaboration with my team, is data collection from the tenant leases we execute with our clients. It has been interesting to view the bigger picture of past negotiations and how this helps with current ones. This project has allowed us to adjust the wording in our new contracts, making them clearer and more effective.

  

How do you approach managing legal aspects during periods of instability or crisis to ensure the organisation’s resilience?

One of the most important principles is to never stop working, no matter what happens. Governments will change, new laws will be enacted, and new problems will arise, but if the team stays organised and continues to work according to plan, the obstacles will be overcome. Another effective way to approach legal aspects during difficult times is to have a reliable team of external counsels. I strive to have several options available, each specialising in a particular area of law, to ensure high-quality service. Corporations often rely on external counsel for various matters, and sometimes we make important decisions based on their input. Therefore, it is crucial to have strong law firms in place to provide the necessary support.

   

What do you think are the most important attributes for a modern in-house counsel to possess?

One of the most important attributes is that the in-house counsel understands the company’s core business to perfection. The only way to provide precise and useful legal advice is to be aware of the technical and commercial aspects of the company’s business, as this will result in a more complete internal legal service. This is the advantage that in-house counsel has over external counsel, such as law firms. Another important aspect is knowing how to become an ally of the commercial department without compromising compliance with legal matters. A good in-house counsel must find ways to enable the growth of the business, but at the same time, must never violate or breach any norms or laws.

    

Based on your experiences in the past year, are there any trends in the legal or business world that you are keeping an eye on that you think other in-house lawyers should be mindful of?

I see many lawyers implementing artificial intelligence into their day-to-day work, and they are reporting outstanding results, particularly in terms of time efficiency. Paid artificial intelligence tools, such as ChatGPT, can now “feed” on information selected by the paying customer, thereby enriching the outcome. This has proven to be very useful for finding articles in laws, preparing legal memos, and generally saving the lawyer’s time on administrative tasks, allowing them to focus on more important matters.
