LATAM countries your role covers: Chile, Perú, México, Colombia (and US for Spanish speaking customers – L.A and Miami)
What are the most significant cases and transactions in the LATAM region that you or your legal team have recently been involved in?
I would like to distinguish two types of transactions. On one hand, there are transactions of a corporate and real estate nature. These transactions could cover a wide spectrum, ranging from the outsourcing of all services, facilities, and personnel at Canal 13 in Chile. This involved a highly complex legal structuring, with significant labour, corporate, and real estate implications. Additionally, there is the start of an ambitious venture in Mexico known as “Guadalajara Content City.” This project involves the construction of a major production hub in Mexico, following the successful model of “Madrid Content City,” where popular Netflix titles like “La Casa de Papel,” “Élite,” and “La Sociedad de la Nieve” have been filmed, and where they are conducting their European activities.
Second, when it comes to financial structuring to restructure the Group’s shareholding framework and the funding of various projects, we have actively participated in a complex financing operation that involved the issuance of bonds in non-European Union regions, in collaboration with a venture capital fund originating from the United States. This pioneering operation within the audiovisual sector places us at the forefront of our sector in terms of these financial and corporate structures.
What are your organisations plans in the LATAM region over the next 12 months and how will your legal expertise help to achieve these plans?
Our goals include the consolidation of real estate projects related to the construction of audiovisual film sets and trying to extend the BPO model to other Latin American countries. To this end, we will increase the presence of in-house counsel in key territories and strengthen our collaboration with our existing external legal advisors.
How do you adapt your legal counselling to align with the diverse business practices and customs of various LATAM countries?
I have focused on introducing greater legal technology tools to achieve greater efficiency in our operations and in particular, greater control of legal projects. This has been necessary in our case due to the transfer of the headquarters, in Spain, with respect to the projects developed in other countries.
