What are the most significant cases and transactions in the LATAM region that you or your legal team have recently been involved in?

We are strongly supported by our general counsel for Iberia, Latam and Italy — Rosa Rico Rodriguez and her team, who work with our local teams on key matters both day-to-day and through monthly committee meetings. At the same time, our legal teams in Argentina, Brazil, Chile and Peru form an integral part of our business operations there, which have seen tremendous organic growth over the past years. As elsewhere in Verisure, the legal teams in Latam are closely involved in all commercial business operations and transactions. They are also the drivers of the group compliance and data privacy programmes, adapted to meet the specific compliance needs in Latam. Finally, they play a very significant role in public affairs and regulatory advocacy matters, with several of the countries being highly regulated. An example was Legal’s involvement to enter and expand within Argentina recently, region by region, and portfolio acquisitions carried out in Brazil. Indeed, under the legal team’s leadership, we are the first security company to obtain a regional certification in criminal compliance with international standards.

How do you adapt your legal counselling to align with the diverse business practices and customs of various LATAM countries?

First of all, it is crucial that our legal teams form part of the management teams at the different levels. Within Verisure, this is indeed the case at Group level, with me being part of the management team, at Cluster level), where Rosa is a member of the broader Cluster and Latam Executive Teams. In each of the Latam countries (like other countries), we also have a senior lawyer forming part of the country executive teams, reporting to the managing director. Only by being an integral part of the strategy setting, projects and discussions is there the possibility to both enable and protect the business. As we enter new countries, a lawyer will be hired, or initially seconded from another country, at a very early stage. The legal team then grows over time, and we now have at least three in-house lawyers in each of our Latam countries. Two areas of particular focus for the region are compliance and public affairs, and regulatory advocacy. For the Compliance area, we have a strong governance model and policy framework, a high number of internal controls and a continuous training programme as part of the onboarding process and also for current employees. Based on the solid compliance work in the region over the past years, we have now obtained compliance certifications in each of our Latam countries, which of course are an important recognition of our efforts. In public affairs and regulatory advocacy, we actively drive stakeholder engagement to manage the regulatory landscape to both seize opportunity and reduce risk.
