Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?  

After Covid-19 and the advent remote working culture, we faced the formidable task of managing a substantial volume of contracts. The traditional approach was time-consuming, leading to bottlenecks in the document review process and the potential for errors. I recognised the need for an agile and collaborative approach to the legal document management system, and developed a novel solution to have a tech platform for real time document management and implemented a solution using existing resources. We leveraged cloud-based collaboration tools and developed standardised document templates across the different business verticals, which transformed our contract review process.  

This innovation allowed seamless collaboration among team members on a real-time basis and drastically reduced lapses in our deliveries and documentations. It also shifted the dependability from any single team member as the entire team had uninterrupted access to the updated data repository.  

This accomplishment exemplifies my team’s dedication to continuous improvement, creativity, and efficiency. I firmly believe that innovation does not always require hefty investments; sometimes, it merely demands a fresh perspective and a willingness to explore the potential within our existing resources. It serves as a testament to the legal departments ability to adapt, innovate, and enhance our operations without burdening our organisation financially. 

 

What are the most significant cases or transactions that your legal team has recently been involved in?  

In recent times, my department has successfully navigated a complex business acquisition transaction that encapsulated various intricacies, making it a significant milestone in my organisation’s growth journey. This multifaceted transaction comprised a slump sale; an acquisition-hire arrangement; and a strategic swapping of shares. Each facet posed unique challenges, demanding a meticulous approach from the legal department.  

By successfully concluding this deal, we augmented our company’s Annualised Recurring Revenue (ARR), bolstering our financial outlook. The cash outflow, in relation to the ARR enhancement, was judicious and manageable, ensuring the transaction’s sustainability and aligning seamlessly with our financial objectives. This strategic transaction was not merely a legal triumph; it translated into tangible financial benefits. 

  

If you had to give advice to an aspiring in-house lawyer or general counsel, what would it be and why?  

Understanding the business, you serve is paramount. Immerse yourself in the industry, the company’s objectives, challenges, and long-term goals. This knowledge will make you a better legal advisor and a strategic partner in the organisation’s decision-making processes. 

In the corporate realm, legal expertise is just the beginning. You should cultivate a diverse skillset encompassing negotiation, communication, problem-solving, and leadership. The ability to understand and align legal strategies with business objectives is invaluable.  

In a growing country like India, the legal landscape is constantly evolving. Stay updated with the latest legal trends, industry-specific regulations, and technological advancements. Continuous learning sharpens your legal acumen and enhances your ability to provide strategic advice.  

Effective relationship-building is something that I feel is at the heart of in-house legal roles. Foster strong connections across departments and industry peers. Understand business nuances and establish yourself as a trusted advisor. Building rapport with stakeholders will enhance your influence and impact. 

Always maintain the highest ethical standards. Upholding integrity builds trust, within your organisation but and in the broader legal community. If the reputation is gone, your chances for career progression will become remote.  

In-house lawyers are seen as problem solvers. Focus on finding solutions rather than dwelling on obstacles. Think creatively and proactively to mitigate risks while facilitating business objectives.  

The fundamental rule to being a good in-house counsel is clear and concise communication. Work on developing the ability to explain complex legal matters in understandable terms. Ensuring that legal considerations are comprehensible to non-legal colleagues is vital.  

Find a mentor from the legal space to provide guidance, wisdom, and invaluable insights based on their experiences. Learning from someone who has walked the path can significantly accelerate your professional growth.  

Be adaptive to changes and different point of views, it will help you develop a different perspective and agility.
