Multinational information technology giant Dell is serviced in India by a global contracts and legal as a shared service (ClaaSS) team based out of Gurgaon, which is led by Smita Priyadarshini, who holds the position of senior managing legal director and is in charge of the nine lawyers and four non legal staff in the team. Against the backdrop of ‘humongous’ changes in Dell’s business, the ClaaSS team has been an integral part of Dell witnessing the major acquisition of EMC on the one hand and divestiture of legacy Perot Services to NTT Data on the other. Priyadarshini explains that the team: ‘diversified the work undertaken by the team from a few business units to multiple business units across Dell including multiple geographies’. To bring in the change, she ‘handpicked the best lawyers with relevant international qualifications and experience to ensure that the team could provide services across boundaries’. One of most impressive innovation created in the last two years have been introduction of the concept of “Hybrid Resources” within the team. This concept was envisaged by Priyadarshini and the team, who provided a workable solution to reduce the budget constraints of regional legal teams for hiring additional legal resources during peak business times. Under this model, legal resources with expertise in multiple jurisdictions is used to provide legal support to multiple regions on a shared cost basis. She explains the benefits of this model as ‘keeping the regional teams up and running round the clock, leading to increased customer satisfaction due to quick turnarounds’. Working on several ‘significant transactions’, the team is present giving ‘end-to-end support on key projects and initiatives’, spanning a range of fields is an endorsement of the team’s versatility. With regards to team culture Priyadarshini claims the maxim “think global and act local” encompasses its outlook, making use of local talent to reach the global market. Another mantra and key strength for the team has been its ability to adapt and embrace change, members are encouraged to continually enhance their work skills and legal knowledge across geographies. The team members are sponsored for onsite visits on a rotational basis to meet and shadow regional teams in order to enhance both legal and cultural skills.
