Airsynergy, a renewable energy product development and licensing company, has a compact legal team of two solicitors and one legal executive, overseeing a wide remit including regulatory changes, intellectual property (IP) strategy, corporate compliance and the legal and commercial aspects of multi-national commercial agreements. Alongside the in-house legal team, there exists a network of trusted advisors and eminent patent attorneys globally to ensure comprehensive international IP protection. Led by general counsel Adrian Kelly, the legal team has acted as the top negotiator on all major strategic transactions throughout the company’s history, including an agreement for manufacturing services from Flex, an electronics manufacturer, and agreements with major multinational licensing partners and agreements with numerous distributors globally. The team has played a significant role in various rounds of equity funding, which has seen Airsynergy raise approximately €12m and provide critical working capital to develop the company’s technology, hire key personnel and facilitate direct sales into the market. In the past two years the legal team has developed a legal data room and smart automated systems around their compliance function, which gives the executive board access to all the key legal information and agreements relating to the company in one centralised hub, and containing an intuitive dashboard and search function. It has also been a useful inventory of the amount of valuable work undertaken by the legal department since its formation. Keeping the team small has enabled them to ‘self-organise faster and more effectively’, says Kelly. Due to the tight-knit nature of the group there are ‘clear lines of accountability’ enabling staff to ‘more easily keep track of work accomplished and work outstanding’. However, the growth of the company has seen a shift in emphasis towards “right-sourcing”, keeping ‘high value, strategic work in-house and resourcing commodity legal work elsewhere’.
