The multinational power management company Eaton entered the Irish market in 2012 following a $1bn acquisition of Cooper Industries. Immediately following this transaction, the company changed its domicile from the US to Ireland and created a regional legal and company-wide governance office. Led by senior vice president and corporate secretary Thomas Moran, the legal team played an instrumental role in setting up the company function in a new market for Eaton’s business. At present, Moran’s team is responsible for a whole range of governance, compliance and legal issues encountered by the corporations over 400 subsidiary companies, providing general oversight to the world headquarters based in Dublin. Comprised of highly knowledgeable legal and compliance professionals, the team is responsible for counsel on a range of subject matter areas, including corporate transactions, commercial contracts, internal policy management, and director support, compensation and taxation. In addition to its highly experienced leader, who prior to joining Eaton spent 19 years as an attorney at The Dow Chemical Company, the team features such highly capable corporate counsel as Elaine Power and Nigel Crawford.
