Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?  

I believe that sometimes “more is less” (and not the other way round!). A few years ago, I decided that the legal department had to take full accountability of the internal process for PPAs (power purchase agreements) negotiation and conclusion. We are now involved in any activity related to this process, and manage all contributions required from other business functions. Although commercial negotiations are still led by our energy management team, our role is central (and essential). This implies more activities to be carried out directly by the legal team for PPAs but with (i) a better time management, and (ii) much lower business risks given that, being involved in the process, we can structure the deal and negotiate the contractual arrangements in the most efficient way. 

  

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?  

Sustainability is a key driver of ERG business activities. As an Italian listed company, ERG has approved and presented to the financial market, together with its 2022-2026 Business Plan, a 2022-2026 ESG Plan that outlines specific targets to be achieved over the next few years. In addition, ERG has approved many procedures and guidelines aimed at strengthening our sustainability strategy and at reaching all targets included in our ESG Plan. The general counsel plays a strategic role in this respect, not only as part of the key management team, but also as member of the ERG ESG Committee that has been created to ensure full alignment by all the companies of the ERG group to our sustainability strategy and practices. 

  

How do you prioritise diversity and inclusion within your legal department, and what initiatives have you implemented to foster a more inclusive and equitable work environment?  

The ERG legal and corporate department complies with ERG policies in relation to D&I as part of our ESG strategy. This includes reaching specific targets also in terms of gender balance, inclusion, and work-life balance, all of which are monitored by ERG ESG Committee.   

  

What legal considerations should be taken into account when structuring and executing an M&A, and how can the legal department play a strategic role in facilitating a successful M&A transaction?  

The legal department is a key-contributor to the success of any M&A transaction. This goes from the initial assessment of the deal structure to the analysis of the most important issues arising from the due diligence until the complete negotiation of all contractual arrangements related to the transaction.
