Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?
An innovation that impacted the way we work with little expense would be going paperless with our legal documents and archives, it has proven to be faster, cheaper, and more sustainable. Also, we have been educating all board members to utilise, a user-friendly and adequately encrypted, technology to manage the board of directors’ meetings without the need for hard copies.
Can you foresee any key developments to the way general counsel work over the next five years?
One of the most significant changes in the in-house legal market will be the rise of flexible resourcing solutions. General counsels will struggle to manage the in-house department and external providers can provide alternative ways to solve resourcing problems, particularly for short-term and project-based shortages, but also to free up the in-house team to focus on more important work.
What legal considerations should be taken into account when structuring and executing an M&A, and how can the legal department play a strategic role in facilitating a successful M&A transaction?
The idea that the lawyer’s work ends with the closing of the deal is a misconception when referring to the general counsel and the in-house team. They play a key role throughout the entire M&A process, including post-transaction integration. They must also help to ensure that all the post-close mechanics outlined in the deal are understood by the entire organisation. Therefore, the legal considerations to be considered when envisioning an M&A process should not be limited to the deal structure but should be extended to all potential implications of the deal.
What is a cause, business-related or otherwise, you are passionate about, and why?
I am particularly passionate about corporate governance models and have monitored the evolution of best practices in recent years. Corporate governance is the image of corporate culture in terms of consistency, responsibility, accountability, transparency, and efficiency.
