What are the main cases or transactions that you have been involved in recently?  

I have been involved in the sale of Vodafone Italia S.p.A. to Swisscom, which included asset/business carve-outs, indemnities and representations/warranties, and regulatory approvals. I have also participated in the ongoing clearance process before the Italian Antitrust Authority and in post-merger integration planning across legal, regulatory, institutional affairs, external communication, and security areas. 

Additionally, I contributed to the approval of the 2024-2029 market rules and wholesale process by the National Regulatory Authority. I worked to influence the outcome of the approval for the sale of Tim’s network (NetCo) to KKR, aiming to limit any negative impact on market competition. I handled the Golden Powers regulations in the development of the 5G network, particularly concerning non-European vendors of 5G equipment. Furthermore, I focused on enhancing the Data Management Risk and Governance environment and simplifying second-line controls and assurance programmes in compliance, transitioning towards a risk-based approach. Lastly, I was involved in the use of AI in contracting and compliance. 

 

How have you integrated technology into your legal processes, and what impact has this had on efficiency and compliance?  

We are developing pilots for the use of generative AI in contracts, primarily focusing on the generation of contract drafts and service schedules for complex products, as well as in compliance, utilising policy chatbots and automated controls in compliance assurance. This is in addition to the legal technology already embedded in the platforms adopted by the legal team, such as advanced Contract Lifecycle Management systems with business intelligence capabilities and intelligent reporting tools for litigation and other matters. These tools have been key in driving standardisation, enhancing productivity, and maintaining alignment with the full-time equivalent (FTE) and operational expenditure (opex) savings mandated by the company’s budget. 

 

What do you see as the major legal challenges for businesses in Italy over the next five years, and how are you preparing to address them?  

The “V.U.C.A.” environment has become business as usual, and businesses need to be prepared to handle the legal and reputational impacts of emerging threats, particularly in the areas of privacy, cybersecurity, artificial intelligence, and security incidents. To achieve this, an effective business resiliency framework is essential. 

Furthermore, the legislative and regulatory framework is becoming increasingly complex, and large corporations, especially those in regulated sectors, need to rely on a network of cost-effective and trusted firms to keep pace with evolving regulatory requirements. Additionally, it is important to maintain relationships with regulatory bodies to stay informed and, where possible, to influence policy developments.
