How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?  

Especially during periods of instability, a proactive approach to corporate and legal matters is fundamental. Only anticipating potential issues, regularly monitoring for developing threats and taking remedial actions to prevent problems before they occur the legal department may concretely support the organisation’s reliance. By contrast, a wait-and-see approach in which Legal only addresses problems after they’ve arisen may open to liabilities that diminish the entire organisation’s ability to react quickly when crises occur. A business-oriented GC does not simply align the legal strategy with the global company’s strategy but contributes to designing the company’s strategic targets. 

 

What are the main cases or transactions that you have been involved in recently?  

Restructuring of the operations and the European and Asian legal entities of the Luminex Group (acquired in 2021 by a 2bn USD take over) 

Dismissal of the flow cytometry business unit (100Mln transaction, 200 employees, 3 sites located in USA and EU) 

Management of various strategic contentious matters including i) the controversy vs the Italian Government pending before the Constitutional Court of Italy with regard to the “payback” of medical devices (globally exceeding 2bn Euro) ii) the dispute with CONSOB regarding the sanctions imposed on the company and the CEO in connection with the treatment of certain alleged price sensitive information 

Renegotiation and finalisation of the new governance of the JV in China with the local partners 

       

How have you integrated technology into your legal processes, and what impact has this had on efficiency and compliance?  

Integrating technology into the in-house function and the company’s legal processes implies knowledge and strategic planning by GC as it requires change management skills at every level. We have adopted tools to i) automate the management of the contracts’ lifecycle (contract creation, amendments, renewal, termination) ii) manage all corporate governance matters (for instance, BOD meetings) and iii) IP researches (patent landscape, prior art, trademarks analysis etc) that not only help reduce the time spent on routine tasks but also strengthen the control of legal risks and enhance  the productivity and the accuracy of the legal works.
