How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

Facing critical situations is very common to a legal counsel. In-house lawyers are important business partners and key players in the implementation of all company’s needs and strategy and are always asked to reconcile such needs with frequently changing legislation and the ever-changing social, political and financial context. As a general counsel, I believe it is important to participate in the definition and implementation of such a strategy, supporting senior management in the identification of legal matters and issues that may arise also from unexpected critical situations. Also, during periods of instability or crises, my main goal is to work fully aligned with company’s general strategy and senior management’s guidance, identifying those matters and issues that need to be prioritized and ensure that the work of the legal team goes in the right direction.

What are the main cases or transactions that you have been involved in recently?

Recently, I have been involved in several transactions relating to the acquisition of pharmaceutical products and relevant regulatory matters.

How do you measure the impact of ESG initiatives on the company’s overall performance and reputation?

ESG initiatives have positive impacts on corporate performance and reputation. Companies that integrate ESG principles into their strategies are more attractive for potential investors. Moreover, ESG practices can help companies mitigate legal, regulatory and reputational costs that could have a negative impact on financial performance and can also contribute to reduce cost management, improve employee retention and innovation, leading to more sustainable long-term growth prospective.

What do you see as the major legal challenges for businesses in Italy over the next five years, and how are you preparing to address them?

In my opinion, major legal challenges to be embraced will be staying in step with technological evolution to respond effectively and efficiently to business needs and requests and, therefore, being fully competitive in the applicable market. On the one hand, technology represents a valid help and support also for legal teams, helping us to work more efficiently and quickly. On the other hand, it may pave the way for new litigation debates and new legal issues arising from the use of any such new tools. It is quite impossible to fully predict such issues and be completely ready. What we can do is make use of the best technologies that suit our working needs as well as the current legal framework and keep regularly updated on developments and regulatory issues related to them to properly and timely address any possible issue.
