A2A’s legal team has evolved in parallel with the company, which has recently undergone a reorganisation that resulted in the creation of five distinct business units. Led by general counsel Alessandra Ferrari, the 23-person team has recently been restructured, adopting a matrix organisational structure both by subject matter and business unit, appointing experienced lawyers in each practice area and a reference counsel in each business unit. Apart from noticeable gains in speed and flexibility, the new structure has enabled the team to effectively deal with ever increasing workloads. Comprised of highly commended transactional specialists, 2016 saw the function effortlessly support the takeover of 51% of utilities company LGH’s share capital. Following the acquisition, the team ensured a gradual and smooth integration of the LGH business within the A2A Group. As well as successfully completing this transaction, the team deals with an array of deals on an annual basis, with recent transactions ranging from re-qualifications and new authorisations of industrial plants and the participation in important public tenders, to a number of M&A transactions in the waste and renewable energy sectors. In addition, Ferrari’s team captured attention internally with its recent contribution to the re-organisation of the environmental business of A2A. ‘The legal department is focused on providing proactive legal advice in order to help the business achieving its strategic objectives while complying with applicable laws, regulations and company policies and consistently with the values of the A2A Group,’ Ferrari says.
