TeamSystem is the leading developer and distributor of software and services targeting businesses, accountants, employment consultants, law firms, building managers and associations. The Italian TeamSystem legal team is composed of six professionals and is led by general counsel Gian Maria Esposito and group compliance officer, Anna Paola Lenzi. Commenting on the team structure Esposito explains: ‘We all have a background as advisors in the most important Italian law firms and the team is strongly committed to its goals, highly motivated and performing’. Esposito claims that over the last 17 years the team has grown ‘very fast’ and become truly integrated into the business. The most significant change has taken place over the last two years. Initially it was composed by the general counsel and a resource dedicated to the corporate governance, besides the chief corporate and legal affairs officer. Starting from the beginning of 2016, the team was enlarged with four resources dedicated to compliance, two to contracts and M&A, one to litigation, all reporting to the general counsel. Esposito attributes most of the growth to realities which has led the team to work hard to standardize internal documents and procedures in order to better manage legal and compliance risks. The legal team has been central to making a tangible impact to the way the company conducts its business through the adoption of the organisational model pursuant to Italian Legislative Decree 231/2001 of the Italian corporate criminal act. Over the last year TeamSystem have been noticed for a number of significant acquisitions in short subsequence, namely that of Mondora, a cloud services for companies and financial companies, Cidiemme Informatica, management software for wineries, and Informatica and Veneta management, a platform for Fitness centres. In December 2016 TeamSystem successfully completed an agreement for the acquisition of AliasLab, the legal team led this transaction which has been described as one of the most important for TeamSystem in recent years, the company eventually acquiring 51% of the company, a specialist in electronic signature and authentication services.
