Representing the finest in Italian automotive design and craftsmanship, Ferrari’s culturally iconic story began in 1947 when it started to produce unique sports cars that are recognised for their unique technology and luxurious styling. The Ferrari Group’s parent company has been a public company listed on the New York Stock Exchange in the US since 2015 and on the MTA Stock Exchange in Italy since 2016. General counsel Carlo Daneo has led the legal team since July 2015 and also serves as data protection officer of the Ferrari Group since February 2018, among other notable roles within the organisation. The legal team provides an all-round coverage of the legal areas, with clear, innovative and international direction. The team, currently composed of 10 members, provides legal and compliance assistance to Ferrari and its subsidiaries at a global scale, including legal advice to all the other Ferrari departments, such as the commercial and marketing, finance, design, IR, treasury, communication, tax, purchasing, production, brand, technical management, Formula 1 and HR. In addition to Daneo as general counsel, the team is composed of legal counsel covering each of the following areas: corporate affairs, M&A and capital markets; brand and licensing; commercial and litigation; trademarks, patents and design (IP); purchasing and proxy; privacy and; product quality and product liability. In addition, the legal team has one support staff for secretarial matters and another support staff for legal archives. The legal team has recently been involved in the following most significant cases and transactions: A product liability lawsuit in the UAE in which Ferrari won against the plaintiff who had claimed damages amounting to around €12m; A cash tender offer on certain series of euro notes for an aggregate nominal amount of €315m; a US private placement with a €300m offering in two tranches of 10 and 12 year maturities; a share buy-back programme which led to the purchase of €100m of shares in 2018 and €150m as 2019; a complex project to comply with the US embargo legislation such as conflict minerals compliance and; the seizure and destruction of almost all the counterfeit products and the removal of almost all the services identified in violation of Ferrari’s IP.
