How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
By integrating legal considerations and advice into the broader business strategy of the company, companies can enhance their ability to navigate through uncertain times. I always suggest a couple of actions such as effective communication meaning suggesting the different areas of the company to maintain open communication with the legal department to address any potential legal issues promptly and implement a crisis communication plan. The second is flexibility, whereby legal departments should be able to adapt legal strategies quickly in response to changing circumstances; and lastly a focus on resilience. Prioritising legal actions and plans that support the company’s resilience and sustainability during and after any crisis is key.
What are the main cases or transactions you have been involved in recently?
The negotiation and execution of an exploration and extraction services agreement with Petroleos Mexicanos (Pemex) for the Lakach natural gas project; investment valued up to $1.2 bn. And M&A transaction for the acquisition of a Mexican oil field through the acquisition of Petrobal.
How can general counsel foster a corporate culture that supports ESG principles and compliance across all levels of the organisation?
Demonstrating a commitment to ESG principles themselves and integrating ESG considerations into legal decision-making processes. General counsel can also initiate the provision of comprehensive training to employees at all levels on the importance of ESG principles and compliance requirements. They should ensure that ESG principles are embedded in the company’s policies, codes of conduct, and governance frameworks. Engaging with stakeholders to understand their perspectives on ESG issues and integrating their feedback into decision-making processes.
How do you manage and motivate your legal team to ensure high performance and professional growth?
Managing and motivating a legal team to ensure high performance and professional growth is a very difficult and important task; in my opinion it involves strategies such as clear expectations, professional development opportunities, feedback and recognition, empowerment and autonomy and a work-life balance.
Clearly communicating expectations, responsibilities, and goals to each team member is paramount, as well as providing opportunities for training, skill- building and continuing education. With regular feedback on performance, recognising achievements, and providing constructive criticism to help, team members can improve and grow professionally. Autonomy and decision-making within defined parameters should also be encouraged.
