How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?  

Being constantly updated in the trends regarding legal aspects applicable to fund managers and investors is key to manage any kind of aspect during periods of instability or crises. In the industry of private credit, many opportunities arise from crises, so my personal legal strategy is to balance risk management from a legal standpoint and boldness on investing in a strategic and sustained way that may cause both good returns for our investors and stable growth to companies in our portfolio. This is part of the organisation´s business strategy and is a great way, as general counsel, to add value to the investment team while having our interests aligned with the rest of the team. 

 

What are the main cases or transactions you have been involved in recently?  

We are now living the golden age of private credit in Mexico, so there have been many and great opportunities for Capital Indigo in the last months providing financing structures that are tailor made and that really satisfy the market’s needs. On the other hand, this has given me the chance to deepen and make stronger and more solid debt structures that always take into consideration new risks related to other debt commitments of our portfolio’s companies, new technologies, current political and social status specially after Mexico’s elections and forthcoming US’ elections, among others. 

 

How can general counsel foster a corporate culture that supports ESG principles and compliance across all levels of the organisation?  

The first thing is to be well informed and constantly update the whole team not only on ESG principles and their actual applicability, but also on how such ESG principles have been transforming corporations and even industries in the last years when organisations apply them in a customised way that really suits their needs and are made according to their culture and reality. Sometimes organisations perceive that ESG matters are responsibility of the general counsel, but I do believe our main role is to prioritise ESG principles according to our organisations strategy but not to follow up on them nor being responsible for applying them, since a specialised person or team need to be in charge of it.
