What are the most significant cases or transactions that your legal team has recently been involved in?
I feel fortunate to lead an exceptional team that is highly committed to executing transactions while thoroughly enjoying the journey. We successfully close numerous deals across various sectors, including real estate, hotels, corporate transactions, and infrastructure projects. Here are a few notable transactions:
One significant transaction involved a term loan for one of the most prominent industrial developers in Mexico. The loan, amounting to US$34 million, was designated for the development, construction, and operation of a Last Mile Distribution Center in Mexico City, with a term of five years. In this arrangement, we serve as the administrative and security agent. The legal structure includes a term loan agreement, an irrevocable administration, security, and payment source trust that encompasses the property and cash flows of the borrower related to the Distribution Center, as well as a promissory note.
Another key transaction was a term and revolving syndicated loan to an international corporation engaged in the production and marketing of ceramic tiles for floors and coverings. This loan, exceeding USD$600 million, was utilised for a corporate transaction involving share buybacks and the repayment of debts. The legal framework for this transaction comprises a term and revolving loan agreement, a security trust, pledge agreements, non-possessory pledge agreements, promissory notes, mortgage agreements, hedging agreements, and guarantors.
Additionally, we facilitated a term loan for a prominent hotel in Playa del Carmen, Mexico. This loan amounted to USD$40 million, intended for debt repayment and corporate needs. The legal structure includes a term loan agreement, pledges, and a promissory note.
Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?
This practice was simple yet highly effective, with no associated expenses. To ensure that all teams had access to the same information, I developed a public database containing details of all transactions currently being executed by the legal team, highlighting key features and stakeholders involved. The benefits of this initiative included: first, allowing all teams—not just the legal team but also operational, business, and anti-money laundering (PLD) teams—to identify potential obstacles or risks; second, minimising the need for unnecessary meetings or the exchange of countless emails; and third, enabling realistic prioritisation and setting of execution dates. Additionally, this database serves internal purposes by allowing me to prepare metrics to meet service level agreements (SLAs) and assess the workloads of the legal team. As I mentioned, this was a straightforward improvement, yet it proved highly successful in ensuring timely closure of all transactions. Ultimately, our clients are the ones who benefit from this enhanced efficiency.
What is a cause, business related or otherwise, that you care about, and why?
Gender equality and women’s empowerment are critical issues that need urgent attention. It is essential to eliminate the judgments and practices that limit opportunities for women. Many law firms lack female partners, and numerous companies do not have women in strategic positions. Personally, my journey has been challenging, and it can be frustrating to see capable women overlooked for opportunities simply due to their gender.
I am an active member of the Sabadell Diversity, Equity, and Inclusion Committee, where I strive to raise my voice and support women. I work to bring initiatives and programmes aimed at improving our representation and position within the organisation.
