Volaris, an aviation holding company, owns and operates two low cost airlines, Volaris Mexico and Volaris Costa Rica, and is listed on the NYSE and the Bolsa Mexicana de Valores. As the aviation business is heavily regulated, the company has a strong in-house legal team capable of handling all of its complexities. The business and its fleet have grown significantly over the past two years, and the legal team has also expanded, going from 18 to 25 members. Jaime E. Pous leads the team as chief legal officer, senior vice president corporate affairs and secretary, with the responsibility of overseeing legal and corporate affairs work for Volaris. In his tenure Pous has expanded and changed the team hiring Rodrigo Resio Paniagua as senior legal manager, joining Gabriel Silva, who leads on litigation and labour law. Additionally, Isela Cervantes was promoted to legal manager of corporate, securities compliance and contracts, and Susana de la Torre was promoted to legal manager for fleet and aviation regulatory matters. Pous highlights that, ‘both have been key in some of the team’s most important achievements such as the IPO, a follow-on and the recent purchase of 80 aircrafts from Airbus’. Additionally, under Pous’ leadership, a new corporate affairs function was formally created with the addition of five new members, including two directors (Mexico and Central América). After successfully conducting Volaris IPO in 2013 and a follow-on in 2016, the team has been involved in some of the most relevant transactions in the Mexican aviation industry including the purchase of 80 A320 Neo Family aircraft from Airbus in a deal worth US$9.3bn, and the delivery of 27 new aircraft in the past two years, including the first Neo aircraft in Latin América. The team also negotiated and implemented the first fully financed structure to pay pre-delivery payments under the purchase agreement with Airbus, structure which has since been implemented by two other large airlines in Mexico, a deal worth US$190m.
