Over the past two years, the Barclays legal team has transitioned from operating as a number of separate business-focused teams, with lawyers sitting in different locations within the UAE with separate reporting lines, to a single legal team operating from the DIFC which has unified the function making it more efficient and consistent. This team structure has also better enabled the legal function to help the Bank respond to the challenges and opportunities presented by the increasing pace of legal and regulatory reform in the region.

At the helm of this structural change is Martin Homberger, head of legal Middle East and North Africa, who joined Barclays in 2010 from Deutsche Bank and is responsible for managing three lawyers and one PA working on legal risk across all Barclays’ businesses in the region. He also supports country coverage in other Emerging Markets jurisdictions. On his team is Fiona Critchley, who joined in 2013 from Dentons and is the lead legal support for the corporate banking business including cash, debt, trade and FX as well as the legacy retail business and the onshore litigation portfolio. Fiona is very engaged and provides support and direction to the business on a wide range of business issues financial crime, fraud, regulatory compliance, VAT as well as just legal. Also, Hajar Barbach who joined Barclays in 2015 from Clifford Chance and provides legal coverage for the firm’s investment banking and private banking and overseas services businesses.

Hajar advises the business on a wide range of issues across products and transactions such as equity capital markets, Islamic finance, structured products and debt as well as a on a range of regulatory and other risk issues covering issues ranging from suitability/client classification, client complaints, data protection and outsourcing. In 2016, Barclays undertook a major restructuring of its Corporate Banking business in the UAE which involved the ‘right sizing’ of the client book, the transfer of clients’ accounts and facilities to a new Abu Dhabi branch and the closure of a Barclays’ Dubai branch. As part of this restructuring, a number of corporate banking coverage, product and infrastructure teams also relocated to the DIFC which enabled corporate to work more closely with Barclays Investment Bank.

Barclays conducts a significant amount of cross-border activity across the MENA region which requires a strong understanding of local laws, licensing and regulatory requirements of the countries in which they operate. Barclays Legal in Dubai has been heavily involved in supporting a global project to manage the firm’s cross-border risk, including helping to define the bank’s risk appetite and control framework for cross-border activities in emerging markets. About the business and the legal department’s future direction, Homberger said that ‘legal has increasingly become involved in coordinating and assisting on regulatory initiatives which impact the bank, including MIFID, UK ring-fencing legislation, structural reform and Brexit. We are also increasingly involved in advising on regulatory issues and supporting internal investigations, reviews on matters relating to financial crime, suitability and appropriateness’.
