José Nicolás Asti Heredia
Legal manager | Primus Capital Peru
What are the most significant cases or transactions that your legal team has recently been involved in?
We helped Primus Capital Peru to adapt to new regulatory challenges by providing legal advice for the new financial products specialised in factoring. The business focus of the company has been credit structuring and it financed leading companies in construction and biodiesel. Primus’s finance operations have been structured to obtain deals from foreign banks and investment funds. We took a vital role of generating profits within the financial services by offering new products and promoting greater competition.
How do you feel the pandemic has changed the world of work for in-house counsel and the function of the general counsel?
The pandemic was particularly challenging to the in-house legal function since we interact with not only our fellow lawyers but also other internal and external clients. Virtual communication was extremely challenging at first, but we learnt to accelerate the use of digital tools and improved communication skills more effectively over the pandemic. The function of the general counsel has evolved into a more virtually capable one by negotiating and litigating using digital tools.
What are some of the key developments – legal, geopolitical or otherwise – that have affected your business over the past year?
The following legal and technological developments have affected the company’s business. First, implementing electronic invoicing developed our electronic platforms including facilities for trading instruments in the secondary market. Second, applying new provisions to negotiation invoices and including the Peruvian treasure increased the formality of business actors in the market.
